Welcome to Yaniir LLC (“Yaniir,” “we,” “us,” or “our”), a creator-owned brand
specializing in artisan dice, modular jewelry, and gaming accessories. These Terms of
Service (“Terms”) constitute a legally binding agreement between you (“user,” “you,” or
“your”) and Yaniir LLC, and govern your access to and use of our website, products,
services, and all related online and offline offerings (collectively, the “Services”).

By accessing, browsing, or using any part of the Services (including making a purchase,
signing up for our newsletter, or participating in pre-orders, Kickstarter campaigns, or
promotions) you acknowledge that you have read, understood, and agree to be bound
by these Terms and any policies referenced herein (including our Privacy Policy and
Refund Policy). Your submission of personal information through our Services is
governed by our Privacy Policy, which describes how we collect, use, and safeguard
your data, and outlines your privacy rights under applicable law.

If you do not agree to these Terms, you must not access or use the Services. Nothing in
these Terms is intended to limit or exclude any mandatory consumer rights or
protections in your jurisdiction.

I. Eligibility; Age Restrictions
You may use our Services only if you are at least eighteen (18) years old, or the legal
age of majority in your place of residence.

If you are under eighteen (18), or under the age of majority, you may use the Services
only with the active involvement and consent of your parent or legal guardian, and your
parent or guardian must agree to these Terms on your behalf.

By using our Services, you confirm that you meet these eligibility requirements.
Our Services and products are not directed to children under the age of thirteen (13),
and we do not knowingly collect personal information from anyone under this age. If we
become aware that we have collected personal information from a child under 13, we
will promptly delete such information. If you believe this has occurred, please contact us

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole
discretion, including if we have reason to believe a user does not meet these eligibility
requirements or has violated these Terms.

II. Account Creation & Third-Party Services
A. Third-Party Platforms
Some features of our Services—such as making purchases, participating in Kickstarter
campaigns, or engaging with promotions—may require you to create or use accounts
with third-party platforms, including Shopify, Kickstarter, payment processors, or social
media services. These accounts are managed and operated independently by those
third parties, and your use of their platforms is subject to their separate terms and
privacy policies.

Yaniir does not manage or store your account credentials for these platforms, and we
are not responsible for any issues related to account access, security, or unauthorized
use on third-party platforms.

B. Accuracy of Information
You are responsible for providing accurate, current, and complete information when
using third-party platforms to interact with our Services, including when making
purchases or submitting information through checkout forms, Kickstarter, or other
supported channels.

You agree not to misrepresent your identity or provide false information when engaging
with Yaniir through any third-party platform.

C. Security & Responsibility
Any issues related to account access, security breaches, or unauthorized use must be
addressed directly with the respective third-party platform. We are not responsible for
recovering access, resetting passwords, or resolving account-related disputes on
platforms we do not operate.

III. Orders, Payments & Pre-Orders
A. Placing Orders
Orders for products and services can be placed through our website, Shopify checkout,
or via crowdfunding platforms such as Kickstarter. All orders are subject to acceptance
by Yaniir. We reserve the right to refuse or cancel any order at our sole discretion,
including due to errors in pricing, availability, or suspected fraud.

B. Payment Processing
Payments are processed securely by third-party providers such as Shopify Payments,
PayPal, or other payment processors available at checkout or through Kickstarter. By
submitting payment information, you authorize these providers to process your payment
in accordance with their own terms and privacy policies.

C. Pre-Orders & Kickstarter Backers
From time to time, we may offer pre-orders for products or accept orders from backers
through crowdfunding campaigns (including Kickstarter). By participating, you
acknowledge and agree:

• Estimated delivery dates are not guaranteed and may be affected by
  manufacturing, logistics, or other factors beyond our control.
• Shipping rates, fees, and taxes may be subject to change between order
  placement and fulfillment, especially for Kickstarter or pre-order campaigns.
• Backer rewards, product availability, and campaign details are subject to change
  based on project status and production realities.
• Orders placed via Kickstarter are considered final and may be subject to
  additional or differing terms as posted on the relevant campaign page.

D. Order Changes & Cancellations
Once placed, orders cannot be modified or cancelled, except as required by law or as
expressly allowed under our Refund Policy or the relevant Kickstarter campaign terms.

For pre-orders and Kickstarter pledges, please refer to the campaign page for
applicable refund or cancellation policies.

E. Confirmation & Communication
Upon successful order placement, you will receive a confirmation email from us or the
relevant platform. You are responsible for providing a current and accurate email
address to receive updates and order notifications.

IV. Product Information & Availability
A. Product Descriptions
We make every effort to describe our products, materials, and features as accurately as
possible, including images, measurements, colors, and specifications. However, we do
not guarantee that product descriptions, photographs, or other content on our website or promotional materials are always complete, current, or error-free.

Actual colors or finishes may vary due to individual device displays or material
variations.

B. Availability & Changes
All products and services offered on our website or through crowdfunding campaigns
are subject to availability. We reserve the right to limit quantities, discontinue products,
or make changes to descriptions, pricing, or availability at any time, without notice.

C. Pricing
Prices for our products and services are subject to change at any time. Listed prices do
not include shipping, taxes, or customs duties unless explicitly stated. We reserve the
right to correct any errors in pricing or product information and to refuse or cancel any
orders placed for products listed at incorrect prices.

V. Shipping, Delivery & Risk of Loss
A. Shipping & Fulfillment
We ship orders to the shipping address provided at checkout or through Kickstarter.
Shipping methods, estimated delivery dates, and available regions are displayed during
checkout or on the campaign page.

Estimated delivery times are not guarantees; actual delivery may be affected by carrier
delays, customs, inventory, or factors outside our control.

B. Shipping Costs, Taxes & Duties
Shipping charges, taxes, and import duties are calculated at checkout or invoiced prior
to fulfillment. For international orders, buyers are responsible for any applicable
customs duties, import taxes, or other fees imposed by their country’s authorities.

C. Risk of Loss
All risk of loss or damage to products passes to you upon our delivery of the order to the
shipping carrier. We are not responsible for packages lost, delayed, or damaged in
transit, but will provide reasonable assistance with carrier claims where possible. We
recommend selecting tracked or insured shipping where available. We are not
responsible for lost packages if tracking shows delivery.

D. Incorrect Or Undeliverable Addresses
You are responsible for providing a complete and accurate shipping address. Orders
returned due to incorrect, incomplete, or undeliverable addresses may be reshipped at
your expense or refunded at our discretion, less shipping and handling costs.

E. Crowdfunding & Pre-Order Fulfillment
For pre-orders or crowdfunding (including Kickstarter), delivery dates, shipping rates,
and fulfillment details are subject to change. Delays, substitutions, or changes in
shipping costs may occur due to manufacturing, supply chain, or logistics challenges.
We will provide updates to the email address provided or via the campaign platform.

VI. Returns, Refunds & Exchanges
A. General Policy
Returns, refunds, and exchanges are subject to our Refund Policy, which is
incorporated into these Terms by reference. Please review the Refund Policy posted on
our website for full details, eligibility, and instructions.

B. Eligibility & Timing
To be eligible for a return or exchange, products must be unused, in their original
condition and packaging, and returned within the time frame stated in our Refund Policy.
Shipping costs for returns are your responsibility unless otherwise stated.

C. Non-Returnable or Final Sale Items
Certain items, including limited editions, custom orders, digital content, and products
purchased through Kickstarter or pre-order campaigns, may be marked as final sale and
not eligible for return, refund, or exchange, except as required by law or as expressly
stated in the applicable campaign or product description.

D. Defective Or Damaged Items
If you receive a product that is defective or damaged, please contact us at
hello@yaniir.com within the period stated in our Refund Policy. We may require
photographic evidence and proof of purchase to process your claim.

E. Refunds
Approved refunds will be processed to your original method of payment, minus any non-
refundable shipping and handling charges, unless otherwise specified. Processing times
may vary depending on your bank or payment provider.

F. Kickstarter, Crowdfunding & Pre-Order Sales
Orders placed through Kickstarter, other crowdfunding platforms, or as pre-orders may
be subject to additional or different refund and cancellation terms as described on the
campaign or product page. Please review those terms before placing your order.

VII. Product Safety, Materials & Disclaimers
A. Materials Disclosure
Our products may include, but are not limited to epoxy resin, stainless steel, sterling
silver, cubic zirconia, obsidian, and polyurethane (“PU”) leather. Please review product
descriptions and materials lists before purchase if you have allergies, sensitivities, or
concerns about these materials.

B. Not A Toy / Age Restrictions
Many of our products, including dice and jewelry, are not toys and are not intended for
children under the age of 13. Small parts may present a choking hazard. Keep products
away from young children and pets.

C. Care & Usage
Products should be used only as intended and in accordance with any care instructions
provided on our website or packaging. We are not responsible for damage caused by
improper use, exposure to harsh conditions, or modifications to the product after
delivery.

D. Allergy & Safety Disclaimer
We do not guarantee that our products are free from allergens or that they will not
cause reactions in sensitive individuals. If you have known allergies or sensitivities to
certain metals, resins, or materials, please use caution and consult your physician
before using our products.

E. No Warranties
Except as expressly stated, our products and services are provided “as is” and “as
available,” without warranties of any kind, either express or implied, including fitness for
a particular purpose, durability, or non-infringement. To the fullest extent permitted by
law, you assume all risk related to the use of our products and services.

VIII. User Content & Influencer Content
A. User Submissions
By submitting, posting, or sharing content related to our products or Services, including
reviews, social media posts, photos, videos, or contest entries (“User Content”), you
grant us a worldwide, royalty-free, perpetual, and irrevocable license to use, repost, display, reproduce, adapt, and distribute such content for promotional, marketing, or
informational purposes, in any media, without further notice or compensation to you.

B. Influencer Collaborations
If you participate in influencer or marketing partnerships with us, you consent to our use
and reposting of any content you create featuring our products, subject to any specific
agreement or consent form you sign as part of the collaboration. We are not liable for
any actions, representations, or content posted by influencers or third parties.

C. Content Standards & Moderation
You are solely responsible for the User Content you submit. You agree not to post or
share content that is unlawful, defamatory, obscene, abusive, infringes on others’ rights,
or violates these Terms. We reserve the right, but not the obligation, to review,
moderate, or remove any User Content at our discretion.

D. No Endorsement or Liability
User Content and influencer posts do not necessarily reflect our views, and we are not
responsible for the accuracy or reliability of such content. Any reliance on User Content
is at your own risk.

IX. Intellectual Property
A. Ownership
All content, trademarks, logos, designs, product images, graphics, website text, and
other materials displayed on or through our Services are the exclusive property of Yaniir
LLC or our licensors, and are protected by applicable intellectual property laws. You
may not use, copy, reproduce, modify, distribute, or create derivative works from our
intellectual property without our prior written consent.

B. Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our
website and materials for your personal, non-commercial use only. This license does not
permit any resale, commercial use, or extraction of content for AI training, database
creation, or similar purposes. We reserve the right to pursue legal action against any
party who misuses our intellectual property, including unauthorized reproduction,
scraping, or use in AI model development or commercialization.

C. Prohibition On Scraping & AI Use
You may not use any automated tools, bots, data scraping, or similar technologies to
collect, copy, or extract content from our website or products for any purpose, including
but not limited to training or testing artificial intelligence models, unless expressly
authorized by us in writing.

D. Third-Party Rights
Some content, names, or images may be owned or licensed by third parties. All rights
not expressly granted are reserved.

X. Prohibited Conduct
You agree not to use our Services or products to:
A. Violate any applicable law, regulation, or third-party right, including intellectual
property or privacy rights.
B. Submit, post, or share content that is unlawful, defamatory, obscene, harassing,
threatening, abusive, fraudulent, or otherwise objectionable.
C. Impersonate any person or entity, misrepresent your affiliation, or provide false or
misleading information.
D. Attempt to interfere with, disrupt, or harm the operation or security of our website,
Services, users, or affiliated platforms.
E. Use any automated means, bots, scrapers, or data-mining tools to access, copy,
or collect information from our website or Services.
F. Resell, redistribute, or commercially exploit any products or content purchased
through our Services, except as expressly permitted by us in writing.
G. Upload or transmit viruses, malware, or any other code intended to disrupt or
damage our systems or the systems of others.
H. Engage in any activity that, in our sole discretion, is harmful to Yaniir, our users,
our reputation, or our partners.

XI. Third-Party Services & Links
A. Third-Party Services
Our Services may include links to, or integrations with, websites, services, or platforms
operated by third parties, including Shopify, Kickstarter, payment processors, social media networks, and shipping carriers. Your use of any third-party service is governed
solely by that third party’s terms and privacy policy.

B. No Responsibility for Third Parties
We do not control, endorse, or assume responsibility for any third-party content,
products, services, or websites, even if accessed through links or integrations on our
website. Any transactions or interactions with third parties are solely between you and
the third party. We are not liable for any harm or loss arising from your use of, or
reliance on, third-party services.

C. Complaints & Questions
Questions, claims, or disputes regarding third-party services, transactions, or content
should be directed to the relevant third party, not to us.

XII. Limitation of Liability & Indemnification
A. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental,
special, consequential, or punitive damages, or any loss of profits, revenues, data, or
use, arising out of or related to your use of (or inability to use) our Services or products.
This applies whether the claim is based in contract, tort, statute, or otherwise, even if we
have been advised of the possibility of such damages.

If we are found liable for any claim under these Terms, our total liability to you will not
exceed the greater of (i) fifty U.S. dollars (USD $50) or (ii) the total amount paid by you
for the specific product or Service giving rise to the claim in the twelve (12) months
preceding the event.

B. No Warranties
Except as required by law or as expressly stated by us, all products and Services are
provided “as is” and “as available,” without warranties of any kind, express or
implied—including merchantability, fitness for a particular purpose, durability, or non-
infringement.

C. Indemnification
You agree to defend, indemnify, and hold us harmless (including our owners,
employees, contractors, agents, and affiliates) from and against any claims, damages,
liabilities, costs, or expenses (including attorneys’ fees) arising from:

• Your breach of these Terms;
• Your misuse of our Services or products;
• Any violation of law or the rights of a third party by you.

XIII. Dispute Resolution
A. Informal Resolution
Before initiating any formal legal action, you agree to contact us at
yaniirdice@gmail.com and provide a brief written description of your issue. We will work
with you in good faith to resolve the dispute informally within thirty (30) days.

B. Arbitration Agreement
If we cannot resolve a dispute informally, and unless otherwise prohibited by law, any
claim, controversy, or dispute arising out of or relating to these Terms or your use of our
Services or products will be resolved exclusively by binding arbitration administered by
JAMS, pursuant to its applicable rules. Arbitration will be conducted virtually (by video,
telephone, or similar remote means), unless the parties agree otherwise in writing. The
arbitrator’s decision shall be final and binding and may be entered as a judgment in any
court of competent jurisdiction. Each party will bear its own costs and attorneys’ fees
unless the arbitrator determines otherwise.

C. Class Action Waiver
All claims must be brought on an individual basis. You agree not to participate in any
class action, collective action, or representative proceeding against us.

D. Exceptions
Nothing in this section prevents either party from seeking injunctive or equitable relief in
court for alleged intellectual property infringement, or from bringing claims that cannot
legally be required to go to arbitration.

E. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of
Minnesota, without regard to its conflict of law provisions.

XIV. Force Majeure
We are not liable for any failure or delay in performance due to causes beyond our
reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, supply chain disruptions, shipping delays, government actions,
epidemics, pandemics, or failures of carriers, communications, or utilities.
If a force majeure event occurs, we will make reasonable efforts to notify you and to
fulfill our obligations as soon as practicable once the event has ended.

XV. Changes To These Terms, Notices & Miscellaneous
A. Changes To These Terms
We may update or modify these Terms at any time. Changes become effective upon
posting the revised Terms on our website, with the ‘Last Updated’ date amended
accordingly. Your continued use of our Services after any change constitutes your
acceptance of the revised Terms.

B. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that
provision will be deemed severed and will not affect the validity or enforceability of any
remaining provisions.

C. Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver
of such right or provision.

D. Assignment
You may not assign or transfer your rights or obligations under these Terms without our
prior written consent. We may assign these Terms at our discretion.

E. Survival
Any provisions of these Terms that, by their nature, should survive termination will
remain in effect, including intellectual property, disclaimers, limitation of liability,
indemnification, and dispute resolution.
